Effective Date: August 1, 2026

By registering for, purchasing admission to, attending, or participating in the OHM™ EVOLVE Conference (the “Conference”), you acknowledge and agree to the following Registration Terms & Conditions (“Terms”). These Terms constitute a binding agreement between the individual attendee and/or purchasing organization (“Attendee,” “you,” or “your”) and Optimal Health Business Development, LLC (“OHM™,” “we,” “us,” or “our”).

1. Registration and Acceptance of Terms

Registration is not complete until payment has been successfully processed and confirmation has been issued by OHM™.

By completing a registration, submitting payment, or accepting these Terms electronically, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you are purchasing registration on behalf of another individual or organization, you represent that you are authorized to make the purchase and agree to these Terms on their behalf. Each individual attendee remains subject to these Terms as a condition of admission to the Conference.

OHM™ reserves the right to accept or decline any registration as permitted by applicable law.

2. Registration Fees

Registration fees are those displayed at the time of purchase and may vary based upon ticket level, registration date, promotional offer, group purchase, professional designation, or other applicable criteria.

Prices, promotions, discounts, and registration categories may change at any time prior to purchase. A subsequent reduction in registration price does not entitle a previously registered attendee to a refund, credit, or price adjustment.

Unless expressly stated otherwise, registration fees do not include airfare, hotel accommodations, ground transportation, parking, meals outside those specifically identified as included, or other travel or personal expenses.

3. Refund and Cancellation Policy

All cancellation requests must be submitted in writing to accounting@ohmevolve.com.

Unless otherwise expressly stated at the time of registration, the following cancellation policy applies:

Cancellation received on or before September 1, 2026: Eligible for a refund of the registration fee paid, less a 10% administrative and processing fee.

Cancellation received between September 2 and September 30, 2026: Eligible for a 50% refund of the registration fee paid.

Cancellation received on or after October 1, 2026: No refunds will be issued.

Registration fees are non-refundable for cancellations made after the applicable cancellation deadline, including cancellations resulting from scheduling conflicts, changes in travel plans, inability to obtain transportation or accommodations, illness, personal circumstances, or failure to attend.

Failure to attend the Conference (“no-show”) does not constitute cancellation and does not entitle the registrant to a refund or credit.

Any refund approved by OHM™ will generally be returned to the original form of payment.

4. Registration Transfers and Name Changes

If you are unable to attend, you may request to transfer your registration to another eligible attendee.

Transfer requests must:

• Be submitted in writing to accounting@ohmevolve.com;

• Be received no later than October 15, 2026;

• Identify both the original registrant and replacement attendee; and

• Be approved by OHM™.

The replacement attendee must meet any eligibility requirements applicable to the registration category purchased and must agree to these Terms.

OHM™ may charge a reasonable administrative fee for registration transfers or name changes.

Registrations may not be resold, auctioned, brokered, or transferred for commercial purposes.

5. Group Registrations

Organizations purchasing multiple registrations are responsible for providing accurate attendee information by the deadlines established by OHM™.

Unless otherwise expressly stated in a written group agreement: Group registrations are subject to the same cancellation and refund deadlines as individual registrations.

The cancellation of one attendee does not automatically cancel or modify the remaining registrations within the group.

Group discounts are based upon the number of registrations purchased. If cancellations or transfers cause the group to fall below the minimum number required for a group discount, OHM™ reserves the right to recalculate the registration fees based upon the number of eligible attendees remaining.

Any resulting balance must be paid before the Conference.

Unused group registrations have no cash value and may not be applied toward future events unless expressly authorized by OHM™ in writing.

6. Ticket Levels and Access

Conference access is limited to the sessions, programs, materials, events, and benefits included with the registration level purchased.

Certain sessions, workshops, clinical programs, networking events, receptions, educational materials, or other Conference activities may be restricted to particular ticket levels or professional credentials.

Attendees may not access sessions or areas outside their registration level without authorization from OHM™.

OHM™ reserves the right to verify professional credentials when registration categories or Conference activities are restricted to physicians, advanced practice providers, healthcare professionals, business professionals, or other designated groups.

7. Conference Changes

Conference schedules, speakers, presentations, session titles, educational content, locations, rooms, activities, and other programming are subject to change.

OHM™ reserves the right to substitute speakers, modify programming, change the sequence or timing of sessions, relocate activities, modify Conference benefits, or make other reasonable changes to the Conference without creating an obligation to issue refunds.

The appearance of a particular speaker, presenter, exhibitor, sponsor, or program is not guaranteed and is not a condition of registration.

8. Event Cancellation, Postponement or Relocation

OHM™ reserves the right to cancel, postpone, reschedule, relocate, or modify the format of the Conference when reasonably necessary.

If OHM™ cancels the entire Conference and does not reschedule it, OHM™ will provide registered attendees with a refund of Conference registration fees actually paid, subject to applicable law.

If the Conference is postponed or rescheduled, OHM™ may transfer registrations to the rescheduled Conference rather than issue immediate refunds, subject to applicable law and any additional refund terms communicated in connection with the postponement.

Except to the extent otherwise required by law, OHM™ is not responsible for attendee expenses associated with a cancellation, postponement, relocation, or modification, including airfare, hotel charges, transportation costs, lost wages, business expenses, or other consequential or incidental expenses.

Attendees are strongly encouraged to purchase refundable travel arrangements or appropriate travel insurance.

9. Force Majeure

OHM™ will not be responsible for delay, modification, postponement, relocation, interruption, or cancellation of the Conference caused by circumstances beyond OHM™’s reasonable control, including severe weather, hurricane, flood, fire, natural disaster, epidemic, pandemic, public health emergency, war, terrorism, civil disturbance, governmental order, labor disruption, transportation interruption, utility failure, venue closure, emergency condition, or other force majeure event.

In such circumstances, OHM™ may take reasonable measures including postponing, relocating, modifying, shortening, or converting the Conference to another format.

10. Hotel and Travel Arrangements

Attendees are solely responsible for making and paying for their own transportation, lodging, parking, and other travel arrangements unless expressly included in the registration purchased.

Hotel reservations, including reservations made through a Conference room block, are governed by the hotel’s own reservation, deposit, and cancellation policies.

OHM™ is not responsible for hotel cancellation charges, airline fees, transportation expenses, or other travel-related costs.

11. Professional and Educational Disclaimer

Conference presentations and materials are provided for professional education and informational purposes only.

Conference participation does not establish a physician-patient, clinician-patient, attorney-client, consultant-client, or other professional relationship between an attendee and OHM™, any presenter, faculty member, sponsor, exhibitor, or other participant.

Conference content is not intended to constitute individualized medical advice, diagnosis, treatment, legal advice, financial advice, or other professional advice.

Healthcare professionals remain independently responsible for exercising their own professional judgment, complying with applicable federal and state laws, regulations, professional standards, scope-of-practice requirements, prescribing requirements, informed-consent requirements, and standards of care.

The discussion of a medication, therapy, laboratory test, device, treatment protocol, compounded product, off-label use, or other clinical approach does not constitute an endorsement or recommendation by OHM™.

Attendees should independently evaluate clinical information before applying it to patient care.

12. Continuing Education

OHM™ EVOLVE 2026 does not offer continuing medical education (CME) credits. The Conference provides professional education for healthcare professionals and practice leaders.

Attendance at the Conference does not guarantee that an attendee will qualify for any particular professional credit, license requirement, certification, or credential unless expressly stated by OHM™.

Attendees are responsible for determining whether Conference education satisfies the requirements of their applicable licensing board, certification organization, employer, or jurisdiction.

13. Recording and Intellectual Property

All Conference presentations, educational materials, slides, videos, graphics, protocols, frameworks, documents, handouts, branding, trademarks, and other content are owned by or licensed to OHM™, the applicable presenter, or other respective rights holder and are protected by applicable intellectual property laws.

Unless expressly authorized in writing, attendees may not:

• Record Conference presentations;

• Livestream Conference sessions;

• Reproduce or distribute Conference materials;

• Upload Conference materials to websites, social media, artificial intelligence systems, file-sharing services, or other platforms;

• Sell or commercially exploit Conference materials;

• Create derivative educational or commercial products substantially based upon protected Conference materials; or

• Provide Conference materials to individuals who did not purchase authorized access.

Registration provides a limited, personal, non-transferable right to attend and use authorized Conference materials for the attendee’s own professional educational purposes.

No ownership or intellectual property rights are transferred through registration.

14. Photography, Video and Event Recording

The Conference may be photographed, filmed, livestreamed, or otherwise recorded.

By attending the Conference, you acknowledge that you may appear incidentally in photographs, video recordings, livestreams, or other media documenting the Conference.

To the extent permitted by applicable law, you authorize OHM™ and its authorized representatives to use such Conference photography and recordings for legitimate Conference documentation, educational, promotional, marketing, and archival purposes without additional compensation.

Attendees who have specific concerns regarding photography or recording should contact OHM™ before the Conference.

15. Attendee Conduct

OHM™ is committed to maintaining a professional and respectful Conference environment.

Attendees are expected to conduct themselves professionally and comply with Conference rules, venue requirements, security procedures, and applicable law.

OHM™ reserves the right to deny admission or remove an individual whose conduct OHM™ reasonably determines is disruptive, unsafe, threatening, harassing, unlawful, materially interferes with the Conference, or violates these Terms.

When removal results from the attendee’s misconduct or violation of these Terms, the attendee will not be entitled to a refund.

16. Badges and Credentials

Conference badges and credentials are issued to individual registered attendees and may not be shared.

Attendees may be required to display their Conference badge or other credential to enter Conference sessions or restricted areas.

Unauthorized badge sharing, credential duplication, or access by an unregistered person may result in revocation of Conference access without refund.

17. Exhibitors, Sponsors and Third Parties

The presence of an exhibitor, sponsor, vendor, pharmaceutical company, laboratory, pharmacy, technology provider, service provider, or other third party at the Conference does not necessarily constitute an endorsement by OHM™.

Any transaction or agreement between an attendee and a third party is solely between those parties.

OHM™ is not responsible for the products, services, representations, warranties, performance, acts, or omissions of independent third parties.

18. Assumption of Risk

Participation in an in-person Conference involves ordinary risks associated with travel, public gatherings, facilities, food service, transportation, and interaction with other individuals.

By attending, you voluntarily assume the ordinary risks associated with Conference participation except to the extent liability cannot lawfully be waived or limited.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OHM™ AND ITS OWNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, FACULTY, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO REGISTRATION FOR OR PARTICIPATION IN THE CONFERENCE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OHM™’S AGGREGATE LIABILITY ARISING FROM A REGISTRATION OR THE CONFERENCE WILL NOT EXCEED THE REGISTRATION FEES ACTUALLY PAID BY THE ATTENDEE GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

20. Personal Property

Attendees are responsible for their own personal property.

OHM™ is not responsible for lost, stolen, misplaced, or damaged personal property except to the extent liability is imposed by applicable law.

21. Payment Disputes and Chargebacks

Attendees should contact OHM™ at accounting@ohmevolve.com regarding registration or billing disputes before initiating a payment dispute or chargeback.

Submitting a chargeback does not alter the applicability of these Terms or create a right to a refund that would not otherwise exist under these Terms.

OHM™ reserves all rights to provide the applicable payment processor or financial institution with registration records, transaction records, acceptance of these Terms, attendance records, communications, and other documentation reasonably necessary to respond to a payment dispute.

22. Promotional Codes and Discounts

Promotional codes and discounts:

• Have no cash value;

• May not be combined unless expressly authorized;

• May be subject to eligibility requirements and expiration dates;

• May not be applied retroactively to completed purchases; and

• May be modified or discontinued before purchase.

Unauthorized use, reproduction, sale, or distribution of promotional codes may result in cancellation of the associated discount or registration.

23. Privacy and Communications

Information collected during registration will be handled in accordance with OHM™’s applicable Privacy Policy.

You authorize OHM™ to send transactional communications reasonably necessary to administer your registration and participation in the Conference, including registration confirmations, receipts, schedule changes, venue information, safety notices, and Conference updates.

Marketing communications will be handled in accordance with applicable law and OHM™’s Privacy Policy.

24. Accessibility and Accommodations

Attendees requiring reasonable accommodations should contact accounting@ohmevolve.com sufficiently in advance of the Conference so that OHM™ and/or the venue may evaluate and reasonably address the request.

OHM™ will address accommodation requests in accordance with applicable law.

25. Minors

Unless specifically authorized by OHM™, Conference registration and attendance are limited to individuals eighteen (18) years of age or older.

26. Governing Law

These Terms will be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles.

27. Dispute Resolution and Venue

Except where prohibited by applicable law, any legal action arising out of or relating to Conference registration, these Terms, or participation in the Conference shall be brought exclusively in the state or federal courts located in Broward County, Florida, and each party consents to the personal jurisdiction and venue of those courts.

28. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

29. No Waiver

OHM™’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or OHM™’s right to enforce it in the future.

30. Entire Agreement

These Terms, together with the applicable registration information, Privacy Policy, and any additional written terms expressly incorporated into the registration process, constitute the agreement regarding Conference registration and supersede prior representations concerning registration, refunds, cancellations, and transfers.

31. Modifications

OHM™ may update these Terms when reasonably necessary. The terms applicable to a completed registration will generally be those presented and accepted at the time of purchase, except where a subsequent modification is required by law or is expressly accepted by the registrant.
